DUTY TO MAINTAIN SECURITY; REGISTRATION REQUIRED

Certain Services will require you to register with Key Commercial Capital. If such registration is required, you must provide us with current, complete and accurate information as prompted by the applicable online registration form. Key Commercial Capital will supply you with a username and password once you have supplied the required information. It is your sole responsibility to maintain the security and confidentiality of your password and account. You also have sole responsibility for any and all activities that occur under your account. In the event you become aware of any unauthorized use of your account or any other breach of security, you agree to notify Key Commercial Capital immediately and to provide all the facts and circumstances of the incident(s). Key Commercial Capital shall have no liability for any damages or loss of any type that you may incur as a result of someone else using your password or account, whether you authorized that usage or not. You acknowledge that you could be held liable for damages or losses incurred by Key Commercial Capital or another party should someone else use your account or password, whether you authorized that usage or not. You must obtain the prior express permission of the account holder in order to use some other person’s account.

NEITHER KEY COMMERCIAL CAPITAL NOR ITS RESPECTIVE AFFILIATES SHALL HAVE ANY LIABILITY FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER BASED ON ACTIONS ARISING FROM CONTRACT, NEGLIGENCE OR ANY OTHER TORTIOUS ACTION. PLEASE DO NOT SEND ANY ORIGINAL CREATIVE ARTWORK, SAMPLES, DEMOS, OR OTHER WORKS TO KEY COMMERCIAL CAPITAL OR ITS EMPLOYEES. THE SOLE PURPOSE OF THIS POLICY IS TO AVOID POTENTIAL MISUNDERSTANDINGS OR DISPUTES WHEN KEY COMMERCIAL CAPITAL’S PRODUCTS OR MARKETING STRATEGIES MIGHT SEEM SIMILAR TO IDEAS SUBMITTED TO KEY COMMERCIAL CAPITAL. IF YOU VIOLATE THIS REQUEST, YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT KEY COMMERCIAL CAPITAL MAKES NO ASSURANCES OR INDUCEMENTS THAT YOUR IDEAS AND MATERIALS WILL BE TREATED AS CONFIDENTIAL OR PROPRIETARY, AND YOU HEREBY WAIVE AND RELEASE ANY CLAIMS AGAINST KEY COMMERCIAL CAPITAL AND ITS EMPLOYEES THAT ARISE FROM OR ARE RELATED TO ANY SUCH UNSOLICITED IDEAS.
